The nature of a trademark determines whether a mark will be considered strong or weak. A strong mark is distinctive and immediately identifies the owner as the source of those goods or services. On the other hand, weak marks are those that are non-distinctive and used frequently by others. Corporate minute books are a requirement for both Ontario and Federal corporations, which may be in the form of a printed binder or electronic format. They contain all of the corporate filings and documents, including the articles and certificate of incorporation, by-laws, director and officer registers, director and shareholder resolutions and minutes, share certificates, shareholder ledgers and registers, as well as any required filings with the Ontario Ministry and Corporations Canada. Minute books must be maintained annually in the event the corporation is audited by CRA, is preparing for the sale of its business or is seeking to raise funds from investors.
